General Terms and Conditions – Techkey BV

These general terms and conditions apply to all quotes, agreements, deliveries, and work performed by Techkey BV, trading as Techkey, active in the following disciplines: climate solutions, roofing, plumbing, security and camera systems, installation, demolition, and repair & maintenance. Techkey works exclusively with experienced and certified professionals.

General terms and conditions

Article 1 – Definitions

1.1. Techkey: Techkey BV, statutorily established in Rosmalen, part of the Techkey Group. 1.2. Client: any natural person or legal entity that enters into an agreement or to whom Techkey submits a quotation. 1.3. Agreement: any agreement between Techkey and the client for the performance of work or the delivery of services or goods. 1.4. Work: all work that Techkey performs or has performed, including assembly, installation, renovation, maintenance, and advice. 1.5. Consumer: client who does not act in the exercise of a profession or business. 1.6. Business client: client who acts in the exercise of a profession or business. 1.7. Subcontractor: third party selected by Techkey that carries out work under the responsibility of Techkey.


Article 2 – Applicability

2.1. These terms and conditions apply to all quotes, agreements, deliveries, and work of Techkey, unless otherwise agreed in writing. 2.2. Deviations from these terms and conditions are only valid if confirmed in writing by Techkey. 2.3. The applicability of the client's terms and conditions is explicitly rejected. 2.4. If any provision proves to be invalid or voidable, the remaining provisions remain in full force.


Article 3 – Quotations and Agreements

3.1. All quotes are non-binding and valid for 30 days, unless otherwise stated. 3.2. An agreement is concluded once Techkey confirms the order in writing or commences execution. 3.3. Techkey reserves the right to refuse an order without giving reasons. 3.4. Prices listed exclude VAT, transport, removal, or permit fees, unless otherwise agreed.

Article 4 – Cancellation and Right of Withdrawal

4.1. Cancellation can only take place in writing. 4.2. In the event of cancellation after order confirmation, the client is obliged to reimburse costs incurred, including preparation and material costs and lost profits, with a minimum of 25% of the order amount. 4.3. Consumers have a 14-day right of withdrawal for distance or off-premises contracts, provided that the work has not yet started. 4.4. If Techkey, at the consumer's request, commences performance before the withdrawal period expires, the right of withdrawal lapses.

Article 5 – Execution and Deployment of Subcontractors

5.1. Techkey carries out its work to the best of its knowledge, expertise, and in accordance with applicable safety and quality standards. 5.2. Where necessary, Techkey collaborates with carefully selected and inspected subcontractors. These parties carry out their work under the supervision and (joint) responsibility of Techkey. 5.3. The client is obligated to provide a safe, accessible workspace with power and water supply. 5.4. Any additional costs resulting from unforeseen circumstances or defects in existing systems will be invoiced separately. 5.5. Work will take place on weekdays between 7:00 AM and 6:00 PM, unless otherwise agreed.


Article 6 – Delivery and Ownership

6.1. All delivered materials remain the property of Techkey until full payment has been made. 6.2. The Client must handle materials with care and not alienate or encumber them. 6.3. Techkey may suspend deliveries or work if payment obligations are not met.


Article 7 – Payment

7.1. Payment must be made within 7 days of the invoice date, unless otherwise agreed. 7.2. If the payment term is exceeded, the client is legally in default and owes statutory interest. 7.3. All collection and legal costs are borne by the client, with a minimum of €150 excluding VAT. 7.4. Techkey may suspend work until full payment has been received.

Article 8 – Warranty

8.1. Roofing: Techkey provides a 10-year warranty on renovations and newly installed roof sections, unless otherwise agreed. 8.2. Other disciplines (climate control, installation, plumbing, security, demolition, maintenance): warranty of 1 to 3 years, depending on the nature and type of work or material. 8.3. The warranty applies only to fully paid invoices and expires immediately if third parties carry out work on the completed work without written permission. 8.4. No warranty is provided on repairs and emergency work unless confirmed in writing. 8.5. The warranty covers only direct defects resulting from defective work or materials, not consequential damage, weather influences, or lack of maintenance.


Article 9 – Liability

9.1. Techkey is only liable for direct damages resulting from demonstrable negligence. 9.2. Liability is limited to the invoice amount of the work in question, with a maximum of €25,000 per claim. 9.3. Techkey is not liable for consequential damages, loss of profit, business interruption, or damages caused by third parties. 9.4. Techkey is not liable for damages resulting from defective existing structures or incorrect information provided by the client.


Article 10 – Force Majeure

10.1. Force majeure means circumstances beyond Techkey's control, including weather conditions, illness, delivery problems, government measures, or strikes. 10.2. In the event of force majeure, Techkey may suspend or terminate the performance of work without compensation.


Article 11 – Use of Third Parties

11.1. Techkey may have work performed by carefully selected third parties. 11.2. These third parties work under the supervision and responsibility of Techkey, in accordance with applicable technical standards. 11.3. Techkey remains ultimately responsible for the quality of the final result.


Article 12 – Privacy and Data Protection

12.1. Techkey processes personal data solely for the execution of orders, administration, and communication. 12.2. Data will not be provided to third parties unless necessary for the execution of the agreement. 12.3. Techkey complies with the General Data Protection Regulation (GDPR). 12.4. The Client has the right to access, correct, or delete data.


Article 13 – Complaints procedure

13.1. Complaints must be submitted in writing within 14 days of discovery. 13.2. If the complaint is justified, Techkey will repair the defect free of charge within a reasonable period. 13.3. Filing a complaint does not suspend the payment obligation.


Article 14 – Dissolution

14.1. Techkey may immediately terminate the agreement if the client:

  • is in default of payment;
  • is declared bankrupt;
  • transfers or terminates his business.

14.2. In the event of termination, Techkey reserves the right to compensation for costs and damages already incurred.


Article 15 – Applicable Law and Disputes

15.1. All agreements with Techkey are governed exclusively by Dutch law. 15.2. Disputes will be submitted to the competent court in the district of 's-Hertogenbosch, unless mandatory law provides otherwise.


Article 16 – Final provisions

16.1. Techkey is entitled to amend these terms and conditions. The most current version can always be found at www.techkey.nl. 16.2. By accepting a quote or agreement, the client declares that they have read and agree to these terms and conditions.
